Terms & Conditions
1. Purchase and Sale of the System
The Company agrees to sell and deliver to the Client, and the Client agrees to purchase, the System and any applicable Service Plan for the agreed Purchase Price.
The Client represents and warrants that:
- If an entity, it is duly organized, validly existing, and in good standing in its jurisdiction.
- It has full legal authority to enter into this Agreement.
- The Agreement has been properly authorized and executed.
2. Limited Warranty
Each System includes a one (1) year limited warranty. Details and limitations are outlined below.
3. Company Obligations
- Provide remote support via telephone
- Attempt to restore system functionality
- Perform repairs under warranty at no charge
- Charge standard rates for non-warranty repairs
- Replace the system if deemed beyond repair
Additional notes:
- Emergency services are billed to the Client
- Client is responsible for CO₂ and canisters
- Company is not liable for delays caused by the Client
4. Client Obligations
The Client agrees to:
- Cooperate with the Company
- Assign trained operators for the system
- Ensure only authorized operators request service
- Contact support before requesting onsite service
System requirements:
- Potable water supply
- Minimum flow rate: 2.2 gallons per minute
- Adequate water pressure
- Dedicated water line
5. Fees and Payment
- Non-warranty services are billed at current rates
- Filter replacements outside service plans are charged
- Payment must be made according to invoice terms
6. Returns
- Require prior written approval
- Subject to a 20% restocking fee + freight
Returns NOT accepted for:
- Installed units
- Units over one year old
- Discontinued models
7. Service Plan Term
- Initial term: 1 year from purchase date
- Automatically renews annually unless canceled within 30 days of invoice
Company may terminate service plans for non-payment.
8. Limited Warranty Details
The Company warrants that the System will be free from defects for:
- 12 months from installation, or
- 14 months from agreement date (whichever comes first)
Coverage includes:
- Parts and labor
- Repairs or replacement at Company discretion
Warranty conditions:
- Must be installed and serviced by authorized personnel
- Must be used according to instructions
9. Warranty Exclusions
Warranty is void if:
- System is altered or serviced by unauthorized parties
- Serial number is removed or altered
- Damage is caused by misuse, poor water quality, or external factors
Not covered:
- Filters (except UV components)
- CO₂ systems
- Damage from natural disasters or improper use
10. Disclaimer of Warranties
Except as expressly stated:
- All other warranties are disclaimed, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
The Client acknowledges no reliance on statements outside this Agreement.
11. Indemnification
The Client agrees to indemnify and hold the Company harmless from:
- Third-party claims
- Injury or property damage caused by the Client
- Breach of this Agreement
12. Limitation of Liability
The Company is not liable for:
- Indirect or consequential damages
- Lost profits or revenue
- Delays in repair or replacement
13. Maximum Liability
Total Company liability is limited to:
- The amount paid by the Client in the previous 12 months
14. Assumption of Risk
The Client assumes all risks related to:
- Use of the system
- Performance outcomes
15. Entire Agreement
This Agreement:
- Supersedes all prior agreements
- Represents the full understanding between parties
16. Governing Law
This Agreement is governed by the laws of the State of Delaware.
17. Dispute Resolution
- All disputes must be handled in Delaware courts
- Both parties waive the right to a jury trial
18. Assignment
- Client may not assign this Agreement without consent
- Company may assign in case of sale or transfer
19. Amendments
Any changes must be:
- In writing
- Signed by both parties
